These Terms and Conditions ("Agreement" or "Terms") constitute a binding written agreement between AEJ Brands LLC, operating as SensIQ Nootropics, and its affiliated entities (collectively "Company," "we," "us," or "our") and you ("you" or "Customer"). To make these Terms easier to read, the services offered by the website are collectively called "Services."

This website is operated by AEJ Brands LLC. Please read this Agreement carefully before using this website. These Terms describe your legal rights and responsibilities. By accessing or using the website or Services, you accept and agree to be bound by this Agreement. These Terms also include a mandatory arbitration clause. If you are not willing to be bound by these Terms, including the disclaimers, you may not access or use this website. If you are under eighteen (18) years of age, you should cease all use of our sites immediately.

Your use of this website, or purchase or use of any of our products, constitutes your agreement to these Terms and Conditions.

Acceptance of Terms and Conditions

By making any use of our website or Services, or any purchase from us, you expressly agree to the terms contained herein. You consent and agree that your use of a keypad, mouse, or other device to select an item, button, icon, checkbox, or to enter text while using our sites constitutes your electronic signature and acceptance under the United States Electronic Signatures in Global and National Commerce Act, P.L. 106-229 (the "E-Sign Act").

Be advised that all activity and IP address information may be monitored and may be used in civil or criminal proceedings in instances of fraudulent use or theft of services. The right to use any product or service you purchase from us is personal to you and is not transferable to any other person or entity.

Changes to Terms of Service

The Company reserves the right to make changes to the sites, policies, and to this Agreement at any time and without notice. Your continued use of our sites or of any purchased product or service following any future amendment constitutes your acceptance of any modified terms. Geographic Scope and Eligibility

SensIQ Nootropics ships to all 50 United States and Puerto Rico. We do not ship to other U.S. territories or international addresses. Please note that orders shipped to Puerto Rico are not eligible for our 30-Day Satisfaction Guarantee or any refund, return, or exchange. All Puerto Rico orders are final. Access to and use of this website from locations outside the United States is at the user's own initiative, and those users are responsible for compliance with all applicable local laws.

By using this website or purchasing any product, you represent that you are at least 18 years of age and are legally capable of entering into a binding agreement.

Subscription Terms

SensIQ Nootropics offers subscription-based purchasing options for certain products. By enrolling in a subscription, you agree to the following:

•       Auto-Renewal: Subscriptions automatically renew at the selected frequency (e.g., monthly) at the price in effect at the time of renewal. You will be charged to your original payment method on each renewal date.

•       Cancellation: You may cancel your subscription at any time through your SensIQ customer account portal. Cancellations take effect at the start of the next billing cycle. Orders already processed or shipped prior to cancellation are final and cannot be refunded.

•       Price Changes: We reserve the right to modify subscription pricing at any time. We will provide reasonable notice of any price changes before they take effect. Continued use of your subscription following such notice constitutes acceptance of the updated pricing.

•       Promotional Pricing: From time to time, SensIQ may offer promotional pricing on the first subscription order (e.g., a discounted first month). All subsequent renewal orders will automatically be charged at the standard subscription price in effect at the time of renewal, regardless of the promotional rate applied to the initial order. Promotional pricing is non-transferable and limited to one per customer.

Returns, Refunds, and the 30-Day Satisfaction Guarantee

SensIQ Nootropics does not accept physical returns or product exchanges. We offer a 30-Day Satisfaction Guarantee on eligible single-item purchases, subject to the terms and conditions outlined in our standalone Return & Refund Policy, which is incorporated herein by reference and available at sensiqnootropics.com.

Key exclusions include but are not limited to: bundle purchases, subscription orders, gift cards, sale items, wholesale orders, and orders shipped outside the 50 United States. All wholesale sales are final.

Site Content and Content Rights

For purposes of these Terms: (i) "Content" means text, graphics, images, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided, or otherwise made available through the Services or sites; and (ii) "User Content" means any Content that account holders, including you, provide to be made available through the Services or sites.

The Company neither endorses nor is responsible for the accuracy or reliability of any opinion or statement on the sites, nor for any offensive, defamatory, or obscene posting made by any user. Under no circumstances will the Company be liable for any loss or damage caused by your reliance on information obtained through content on the sites. It is your responsibility to evaluate the accuracy, completeness, and usefulness of any information, opinion, or other content available through the sites.

Reviews, Comments, and User Content

Visitors and users may post reviews, comments, and other content so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content.

The Company reserves the right to remove or edit such content at its discretion. If you post content or submit material, you grant the Company a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all rights to the content you post, that the content is accurate, and that its use will not cause injury to any person or entity.

Limited Rights to Use

The viewing, printing, or downloading of any content, graphic, form, or document from the site grants you only a limited, non-exclusive license for personal, non-commercial use solely by you. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or offer for sale any information contained on or obtained from the site without our express written permission.

Subject to the terms and conditions of these Terms, and so long as your account is in good standing, AEJ Brands LLC grants you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the sites solely for your personal or internal business purposes.

User Conduct Rules

In addition to meeting the eligibility requirements above, you agree to comply with the following rules governing use of our sites and Services. You shall not:

•       Make any representations, warranties, or guarantees on behalf of AEJ Brands LLC that are inconsistent with these Terms.

•       Engage in any unlawful, unfair, fraudulent, malicious, negligent, misleading, or deceptive practices.

•       Post or send anything violent, indecent, obscene, threatening, pornographic, racist, hateful, libelous, or defamatory.

•       Infringe on anyone's intellectual property rights, defame anyone, or otherwise violate the rights of a third party.

•       Create a false identity or duplicate accounts for the purpose of misleading others.

•       Hack, phish, SQL inject, or otherwise compromise the confidentiality, integrity, or availability of the sites or its users' systems.

•       Use any spider, bot, or other automated device for scraping, harvesting, or data mining information on the sites.

•       Use the sites or Services in connection with unsolicited communications, including junk or bulk email.

•       Interfere with other users' use of the sites or Services.

•       Post or transmit chain letters, pyramid schemes, unauthorized advertising, or promotional solicitations.

•       Permit any other person to access the sites or Services using your account information.

•       Represent yourself as acting on behalf of AEJ Brands LLC as its agent or otherwise.

Our provision of Services to you is contingent on your agreement with this and all other sections of these Terms. We reserve the right to change or include new requirements at our sole discretion without prior notice.

Wholesale and Practitioner Accounts

Wholesale Purchases -- United States Only

Health professionals located in the United States may apply for a wholesale account through the SensIQ wholesale portal. All wholesale purchases are subject to our Wholesale Policy and minimum pricing (MAP) requirements as made available on our sites. Wholesale pricing is provided to approved accounts upon application.

All wholesale sales are final. No refunds, returns, or exchanges are accepted on orders placed through the wholesale portal. By placing a wholesale order, you acknowledge and agree to this policy.

Wholesale account holders are strictly prohibited from listing, selling, or advertising SensIQ Nootropics products on Amazon, eBay, or any other third-party online marketplace or platform without prior written approval from AEJ Brands LLC. Violation of this restriction may result in immediate termination of your wholesale account and may subject you to legal action. Approved resale channels will be specified in writing at the time of account approval.

Wholesale purchases may be subject to sales and use tax unless a valid exemption certificate or resale certificate is provided that matches your ship-to state. AEJ Brands LLC maintains responsibility for the collection and remittance of applicable retail sales taxes on products sold through the SensIQ platform.

Practitioner Responsibilities

By using our Services as a health professional, you represent that you are authorized by the applicable governmental authority to make recommendations in your jurisdiction. You agree to comply with all licensing, ethical, and regulatory standards applicable to your profession. AEJ Brands LLC expresses no opinion on the appropriateness or legality of the resale or recommendation of products to patients and assumes no liability for your professional conduct.

You are exclusively responsible for any statements you make regarding our products, including any claims that do not explicitly appear on product labeling.

Health, Product, and Results Disclaimer

The information contained on this website is for informational purposes only and should not be construed as medical advice. Read the entire label before using any SensIQ product and follow all directions.

Statements made by the Company have not been evaluated by the Food and Drug Administration. These products are not intended to diagnose, treat, cure, or prevent any illness or disease. Consult with your physician for diagnosis or treatment.

Dr. Luke Barr serves as Chief Medical Officer of SensIQ Nootropics in an advisory and formulation capacity. His involvement with SensIQ does not constitute a doctor-patient relationship with any customer or site visitor. None of the material contained on the site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior written consent of the Company, except for personal, non-commercial, informational use only.

Your Account

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account or password. The Company reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion.

Third Party Links

The site may provide links to other websites or resources not directly affiliated with the Company. We are not responsible for the accuracy, content, privacy policies, or availability of information found on third-party sites. We do not endorse any merchandise or content on such sites, nor do we make any representations regarding the security of any information you may provide to a third party. Dispute Resolution and Choice of Law

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration hearing shall take place before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Any issue or dispute arising out of or in connection with your use of our site, the Terms, or any matter concerning the Company shall be governed by the laws of the United States and the State of Delaware, with venue in the Delaware Court of Chancery. If any provision of the Terms is found to be invalid by any court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

Termination

The Company reserves the right to terminate your access to the site or any of its Services if it determines that you do not comply with these Terms, provide false or incomplete information during registration, engage in any conduct that harms the Company's rights or interests, or for any reason whatsoever without prior notice. Upon termination, you must cease use of the Services and destroy all materials obtained from the site.

Entire Agreement

If a court finds any portion of this Agreement unenforceable, the rest of this Agreement will continue to apply. This is the entire agreement between you and the Company relating to the site, and this Agreement replaces all prior written or oral agreements that may have existed between us. You cannot transfer or assign your rights or obligations under this Agreement to anyone without our written permission. Our failure to enforce any provision of this Agreement does not waive our right to enforce the same provision in the future.
